McGuireWoods has a need for a Senior Corporate/Regulatory Paralegal to join its Healthcare practice in Chicago, IL.  The paralegal will be responsible for drafting corporate documents, filing documents with state and federal agencies, and performing various public searches on behalf of clients.  The ideal candidate will have 10-15 years of transactional paralegal experience, preferably with corporate healthcare, the ability to effectively interface with internal and external stakeholders, and possess strong communication and multi-tasking skills.

  • Creation and upkeep of corporate minute books and stock record books
  • Complete and file various forms with state and federal agencies
  • Draft corporate resolutions, bylaws, operating agreements, etc.
  • Perform public searches of all kinds, including federal and state lien searches, financing statements, and secretary of state records
  • Assist in closing binder preparation and distribution, and with other corporate document distributions
  • Organizes, labels and files materials as directed



  • Bachelor degree and Paralegal certificate from ABA- approved program is preferred
  • At least 10 years of prior corporate paralegal experience in a mid to large size law firm strongly desired
  • Corporate Healthcare experience is strongly preferred
  • Proficiency in working with Microsoft Word, Excel, and Adobe Acrobat
  • Strong verbal and written communication skills and the ability to build relationships with internal and external stakeholders
